I think LLC's are the way to go for entrepreneurs and the article presents a very informative description of the nuances involved in operating as an LLC that many businesses often overlook

And if an LLC (treated as a corporation for income tax) goes sour and has had practically no movent and is later dissolved by the state in which it was registered, what are the long-term effects on its members, especially related to company tax filings with the IRS and the State?

Very informative in many many ways for me, an unemployed and recently widowed female with hopes of becoming a working member of society again, but this time as a self employed LLC business owner.

One correction to the above -- Massachusetts does allow single member LLCs. This change became effective in 2003.

Great info, my issue is to discover more about the facts of when a
corporate enity stiffs it's creditors, only then to change it's corporate
name with using the same officers, address and location and telephone
numbers.
Stating that their going into an LLC arrangement so to become judgement proof from their former corporate creditors.
My attorney filed a motion and defendant defaulted, they never showed up! Now we have to go back into court and secure the default judgement. That was in January 09, my attorney not to sure of what he's doing!
