I am in the process of ending the partnership of my business. We are a service business with no inventory. Our partnership agreement says a partner may end the partnership for medical reasons, withdrawal, retirement, resignation, etc. It also says the name of the business is owned by the partnership. I am starting my own business, thus the need to end the partnership. There are reasons I have started my own business. My customers will go with me, my partner's customers will go with him and our employees can choose who they wish to work for. We are in agreement on everything, except my partner says since I was the one who decided to leave the business he can keep the name. I have made him an offer to compensate me for his keeping the name, based on the fact the agreement says the partnership owns the name. He says he owes me nothing and can keep the name. I have spoken with our attorney and he says he agrees with my position. My partner says his reason is he does not want to go through the process of changing the name. I would be interested in knowing your thoughts.
